Technical online course “Shelly Scripting Basics”

Technical online course organizer and official terms and conditions:

The technical online course "Shelly Scripting Basics" from now on referred to as "the Course" is organized by and under the auspices of Shelly Europe Ltd., 103 Cherni vrah Blvd, 1407 Sofia, Bulgaria, from now on referred to as “Shelly Europe” or “Organizer” through the assistance of Software University Ltd., 78 Alexander Malinov Blvd., 1799 Sofia, Bulgaria, from now on referred to as "SoftUni” or “Course teaching organization”.

These Terms and Conditions for Technical online course “Shelly Scripting Basics” referred to as "the Terms and Conditions" shall govern the purchase of access to the Course through the website https://www.shelly.com/en and the administration of the Course. The Terms and Conditions of the Course will be available on the webpage of the Organizer at: https://www.shelly.com/en аnd on the webpage of SoftUni, available at: http://shelly.academy throughout the whole period of the Course.

Please read these Terms and Conditions carefully before placing an order through https://www.shelly.com/en . By placing an Order for purchasing access to the Course You agree to be bound by these Terms and Conditions. It is your responsibility to read these carefully, before placing an Order. If You have not been acquainted with these Terms and Conditions We shall not be liable for any loss or damages related to your omission to get acquainted with these Terms and Conditions.

The Course itself is provided by SoftUni in а partnership with Shelly Europe Ltd. In reference to the terms and conditions of the Course and its administration the Terms and Conditions of SoftUni available at http://shelly.academy shall apply. Please read these terms and conditions carefully before registering for the Course. As regards package sales and promotions organized by third parties jointly with Us and published on the Website You shall get familiar with the general terms and conditions of these merchants, respectively with the conditions of the respective promotion.

These Terms and Conditions are in English language only.

A participant in the Course, referred hereinafter as “the Participant” is any natural person, 18+ years old who has successfully registered for participation in the Course using the educational platform of the Course teaching organization before the Start date and by using voucher for the Course from Organizer’s website.

By registering for participation in the Course the Participant agrees to abide by these Terms and Conditions and the terms and conditions of SoftUni. By registering for the Course, you acknowledge that You have read and agree with these Terms and Conditions and the terms and conditions of SoftUni and shall comply with them and any applicable laws that might be related to it. If a Voucher for the Course is acquired by a third party which is different from the Participant, these Terms and Conditions shall apply accordingly as of the moment of the Voucher purchase.

The Course Organizer reserves the right to amend or supplement the Terms and Conditions, with the changes coming into force after being published on the webpage of the Organizer available at: http://shelly.academy and on the webpage of SoftUni, available at: http://softuni.org

Course details:

The Course is software-oriented and is suitable for anyone interested in the Internet of Things (IoT) and who wants to gain deeper knowledge in the field. It introduces the basics of JavaScript programming and Shelly Devices setup, so prior knowledge is not required.

When participating in the Course each Participant may acquire the following skills:

Writing simple JavaScript code for Shelly devices;

Working with variables, conditional statements, loops, arrays, and strings;

Working with functions and callbacks;

Working with Shelly RPC protocol;

Working with objects;

Working with HTTP protocol and making requests from a Shelly script;

Building simple practice-oriented projects.

The Course curriculum consists of a theoretical part, a practice-oriented part in the form of exercises and homework.

The learning sessions are divided into the following modules:

The Course will be held entirely online in real time in a special educational platform, managed by the Course teaching organization and will be available in English language only. All lectures and materials will be provided in English only and the Organizer does not have the obligation to provide translation into other languages.

The duration of the Course is one month and a half.

The Course shall be held on Tuesdays and Thursdays and will run from 21th September 2023 (“the Start date”), at 6:00 PM CEST. To determine the start time of the Course, please convert the date and time to your local time zone.

The Organizer and the Course teaching organization reserve the rights to make amendments in the schedule and the curriculum of the Course, which will be communicated with the Participants via e-mail in a timely manner and will be published on the webpage of the Organizer available at: http://shelly.academy and on the webpage of SoftUni, available at: http://softuni.org

The Organizer and SoftUni reserve the right to cancel or terminate the Course by giving notice to the Participants in writing (including by email) at any time before the Course is due to start. Following this the Organizer will refund the purchase price paid by You.

Organizer’s liability if cancels or terminates the Course will be limited to a refund of the purchase price paid.

The Course consists of learning sessions each of which has duration of 3 to 4 teaching hours. Each teaching hour is 60 minutes long.

The Course is not available and cannot be run individually for Participants. The Course is intended for group of Participants and the number of Participants is not limited.

The Course is available for all visitors of https://www.shelly.com/en.

In the end of the Course each Participant shall receive a Certificate for participation in the Course. The Certificate shall be issued according to the terms and conditions of SoftUni available at http://shelly.academy

Purchase and Payment

The registration for the Course requires purchasing of a voucher (the Voucher).

Upon purchasing of a Voucher (including bundled with а device) a distant contract for sale is concluded between the Organizer and the person, that has bought the Voucher. As long as the Voucher is not personalized this person might be different from the Participant. This Section of the Terms and Conditions of the Course shall apply only in the relationship between the merchant – the Organizer and the consumer – the person who has bought the Voucher.

The Voucher is an electronic document containing a unique code that upon registration of the code in accordance with these Terms and Conditions shall be exchanged for the service – online Course "Shelly Scripting Basics".

The Course will be available for purchasing only in the website of the Organizer available at: https://www.shelly.com/en in two (2) options:

a. A Voucher for Shelly Scripting Basics Course;

And

b. A Voucher for Shelly Scripting Basics Course plus Shelly Plus Plug S device (a Bundle Course). *Please note that in some countries you may need an appropriate adapter in order to use the device. The Shelly Plus Plug S is not offered with adapter;

When purchasing the Voucher for Course, a unique code for personal registration for the Course in the educational platform of SoftUni is send together with the confirmation e-mail of the purchase. For proper registration please follow the instructions provided in the confirmation e-mail.

The registration in SoftUni’s educational platform is sole Participant’s responsibility. Each Participant acknowledges that he/she cannot attend the Course if he/ she does not have a valid registration.

The Voucher is valid only for Shelly Scripting Basics Course and for the time before the Start date of the Course. The Voucher is intended for acquiring a specific service – the Course and cannot be used for purchasing any devices or services available at https://www.shelly.cloud/ or any other courses from the portfolio of SoftUni.

The Voucher is not personalized and therefore transferable.

Тhe Voucher can be used only once and only for the specific service for which it was issued.

The unique code provided in the Voucher could be used only once for registering only one Participant in the Course.

The Organizer is entitled, without liability, to invalidate a Voucher code in case of misuse or assumption of misuse, violation of these Terms and Conditions and the applicable law, as well as in compliance with administrative or court order.

For everyone who has chosen to purchase version of the Course combined with purchase and delivery of Shelly Plus Plug S device, will be valid the terms for delivery, available in the General terms and conditions: https://www.shelly.com/en/special-terms-conditions of https://www.shelly.com/en.

Right of Withdraw

This Section of the Terms and Conditions of the Course shall apply only in the relationship between the merchant – the Organizer and the consumer – the person who has bought the Voucher (You).

Withdraw from the contract for distance sale of access to the Course might be exercised by the person, who has bought the Voucher no later than 14 days from the purchase and only if not registered in the educational platform of SoftUni.

If You have bought a participation in the Course but in 14 (fourteen) days as of the purchase You decide to exercise your right of withdraw from the purchase made and You have not registered for participation in the Course in the educational platform of SoftUni, You can do it by: (i) the e-tool for right of withdraw available at https://www.shelly.cloud/; or (ii) sending a withdrawal statement to e-mail [email protected]; or (iii) sending an original, hard copy of a filled Withdrawal form prior to the expiry of the stated time limits at the following address: 1407 Sofia, 103 Cherni Vrah Blvd., Bulgaria.

To meet the withdraw deadline, it is sufficient for You: (i) to express Your decision for withdraw in writing before the 14 days period, specified above to get expire, (ii) You or third party not to have registered for participation in the Course in the educational platform of SoftUni.

In case of purchasing of Course Bundle You are entitled to withdraw from the distance contract for the Course, the Device or the Course Bundel in general. In case of withdraw from the distance contract for the Device or the Course Bundel, but not for the Course, in addition to the preceeding paragraph You also need to return the purchased Device. The Device shall be returned at the following address: 1407 Sofia, 103 Cherni Vrah Blvd., Bulgaria. Note that You must send back the Device no later than 14 days from the day on which you have exercised your withdrawal right. Upon exercising the right of withdrawal, all costs related to the delivery of the Device, that are object of returning, are at Your expense. The returned Device shall not have been used, the package shall be intact and in the state in which it had been delivered – in the original package in its entirety together with the accompanying documentation, without any damage or removal of foil and stickers placed by the manufacturer, without any changed software configuration (without installed or removed applications, nor personal information uploaded). Until the date of receipt of the retuned Device by Us the risk of accidental perishing or damage shall be borne entirely by You. Shelly Europe shall not be obliged to refund any paid amounts in cases of loss, perishing or damages to the Product, including those occurred during transport by the return.

If You have purchased Course Bundle You have decided to exercise your right of withdraw from the Course but You wish to keep the purchased Device, the Organizer shall reimburse You the purchase price for the Course upon receiving valid decision for withdraw in writing as described in the previous paragraph only under the condition that the Voucher code has not been registered with the educational platform of SoftUni.

The Organizer shall reimburse all payments received from You for returned items and will also reimburse delivery charges for the least expensive type of delivery offered by Shelly Europe, no later than 14 days from the day on which Shelly Europe has received the above withdrawal form. In case of Course Bundle, depending on Your choice of withdrawal, when the return of Device is applicable, the Organizer reserves the right to withhold the reimbursement until the Organizer receives the returned Device back, or until You supply evidence for having sent back the Device in process of returning, whichever is earlier.

Please note that by exercising the right of withdraw, the code available with the purchased Voucher will be deactivated immediately and You will not be able to register for participation in the Course.

The amounts subject to reimbursement shall be paid as follows:

- For payments on delivery (available only for deliveries in the Republic of Bulgaria) - by bank transfer on the bank account stated by You in the Withdrawal form;

- For online payments – by bank transfer on the bank account from which You have made the initial payment;

- For payments through PayPal – within Your profile in PayPal.

The amount shall be reimbursed without this leading to any additional expenses for You.

Additional taxes and custom duties, as well as any transaction charges (including exchange rate fees) imposed by the payment service provider are not subject to reimbursement by Shelly Europe.

Limitation of Liability

The Organizer shall not be held responsible for any errors or failures, including any technical or administrative problems in relation to Your ability to register and access the Course, the educational platform of SoftUni or any related materials, including where such errors or failures are caused by: (i) a loss of connection on Your end, including but not limited to a breakdown or problems with Your internet connection, computer, system or any other type of hardware you use; (ii) a breakdown or problems with the online software; (iii) late or invalid registration for the Course; (iv) non-delivery of Voucher code due to incorrect e-mail address or filters of Your mailbox such as Spam, blacklist or other filters and functionalities. It is Your responsibility to ensure that you have the proper hardware and software, along with access to stable Internet connection, to be able to participate in the Course.

The Organizer does not accept responsibility for anyone acting as a result of information in, or opinions expressed on the Course including course materials. Opinions expressed are those of individual trainers and these shall not be considered as opinions of the Organizer. The Participants should take professional advice when dealing with specific situations and cases.

The Organizer shall not be liable for any acts or omissions, crimes or further violations of the applicable law of any country which law might apply, violation of third-party rights, including intellectual property rights as well as for damages caused by any Participant in the Course.

The Organizer shall not be liable for any materials provided by or actions undertaken by SoftUni and the educational platform where the Course is held, including but not limited to any bans or restrictions, removal of content etc. Any Participant shall know and familiarize himself/ herself with the terms and conditions of SoftUni.

The Organizer does not warrant that the provision of any content online will always be available or be uninterrupted, timely or error free.

The Organizer shall not be liable for any lost profits or any special, incidental, indirect, punitive, exemplary, or consequential damages arising out of the Course, howsoever caused, whether arising in statute, tort (including, without limitation, negligence) contract, other legal theory or otherwise, and all such damages are hereby disclaimed and excluded

Granting of License

Shelly Europe and SoftUni grant each Participant a limited license to access and use the Course content and the Platform and each official channel used for the needs of the Course. As a condition of such license, the Participant agrees that:

•All materials – including but not limited to text, photographs, video, audio, images and any other content – appearing via the Course are protected by copyrights and/or other proprietary rights belonging to the Organized and/or SoftUni. Each Participant agrees to abide by all applicable laws regarding copyrights, trademarks, publicity rights and privacy rights according to the applicable intellectual property rights legislation;

•will not copy, reproduce, duplicate, distribute, disseminate, publish, post, display, perform, modify, reverse engineer, create derivative works from, upload to, transmit, or in any way exploit any content from the Course, no matter of its nature. The Participant may not sell or offer for sale any of the content, or allow third parties to access it, or use such content to construct any kind of database. Participant may use the content from the Course only for personal, non-commercial use.

•Any violation of these Terms and Conditions, the Terms and Conditions of SoftUni or the applicable law may result in Your exclusion from the Course and You may be subjected to fines and penalties.

You agree to maintain the security of any user name and password required for accessing the Course. You may not allow anyone else to access the Course via your log-in details. You are obliged to notify SoftUni promptly if you become aware of any unauthorized use of your access credentials.

Use of Personal Information.

The educational platform of SoftUni requires registration of an account which may require submission of personal data. The Organizer shall not be responsible for the processing of these data by SoftUni. Governing Law

These Terms are governed by and construed in accordance with the applicable laws of the Republic of Bulgaria (with the exception of its conflict of law provisions). Any disputes arising out of the implementation of or in connection with these Terms shall be settled by mutual negotiations and if such are not possible, according to the applicable legislation.

Miscellaneous:

If any part of these Terms and Conditions is held by a court of competent jurisdiction to be invalid, illegal, or otherwise unenforceable, such part will be modified by such court to the minimum extent necessary to make it enforceable while preserving to the maximum extent possible the original intent of and the remaining parts of these Terms and Conditions will remain in full force and effect.
