Terms and Conditions for
“Energy Saving Giveaway”
1. General information
These General Terms and Conditions (“Terms”) apply to the “Energy Saving Giveaway” (“Giveaway”) organized by Shelly Europe Ltd., a company registered in the Bulgarian Commercial Register at the Register Agency with UIC 202320104, with seat and management address at No 51 Cherni Vrah Blvd., building 3, floor 2 and 3, Sofia, Bulgaria (“Organizer”).
To participate in the Giveaway, participants must comply with these Terms and Conditions. The full Terms and Conditions will remain accessible for the entire duration of the Giveaway via the following link: Earth Day Giveaway Terms & Conditions – Shelly Europe. This link will be provided in the Giveaway post published on the Organizer’s official Instagram page (@shelly.iot) and Facebook page (facebook.com/Shelly.IoT) (hereinafter referred to as the “Platforms”)
By participating in the Giveaway, each participant agrees to abide by these Terms and Conditions. By entering the Giveaway, you acknowledge that you have read and agree with these Terms and Conditions and shall comply with them and any applicable laws that might be related to it.
The Organizer may amend these Terms at any time. Any such amendments shall take effect upon their publication in the Giveaway post on the Platforms. The Organizer also reserves the right to disqualify any participant who fails to meet the eligibility criteria or violates these Terms. Only eligible participants will be considered for winner selection.
2. Participation in the Giveaway
To participate in the Giveaway, you need to:
a) Follow the official Instagram account @shelly.iot on Instagram or Like the official Facebook page facebook.com/Shelly.IoT on Facebook;
b) Leave a comment under the Giveaway Post published on 22.04.2025 on the Organizer’s official Instagram account (@shelly.iot) or Organizer’s official Facebook page (facebook.com/Shelly.IoT)., describing one small action you take to save energy.
Participation is free of charge and is not linked to any purchase of goods or services. Regardless of the number of comments made, each participant will be considered for the draw only once. Each individual may participate on either Instagram or Facebook, or both, but is eligible to win only one reward.
The selection of winners will be conducted through a random draw, with outcomes based purely on chance.
The Giveaway is not in any way sponsored, endorsed, or administered by, or associated with Instagram or Facebook. Each Participant agrees to comply with all terms and policies governing Instagram and Facebook in connection with the Giveaway. The draw will be conducted using the third-party tool https://www.wask.co/ which randomly selects winners from eligible participants. By participating, the participants acknowledge and agree to the use of this tool for winner selection. 3. Giveaway duration
For the participation in Instagram, the Giveaway will run from Tuesday 22.04.2025 09:00 (CET+2) (“the Start date”), until Monday 28.04.2025 23:59 (CET+2) (“the End date”). The Giveaway period may be shortened or extended from the pre-announced end date by a decision of the Organizer, which will be published on the Platforms.
The Organizer reserves the right to suspend, modify, or terminate the Giveaway at any time for any reason, in its discretion, including without limitation in the event of fraud, abuse, tampering, technical, administrative, financial, or other difficulties. In such cases, the Organizer will post a notice on the Platforms
4. Territory
The giveaway is open to participants residing in Europe and the USA who meet the eligibility criteria.
5. Right to participate
Any natural person who is at least 18 years old as of the Start Date and has a valid Instagram and Facebook account may participate in the Giveaway, provided that:
• They fully comply with all participation requirements outlined in Section 2 during the Giveaway period; and
• Their Instagram and Facebook account settings allow the Organizer to contact them via direct message in the event they are selected as a winner.
The employees or family members of an employee of Shelly Europe Ltd., including, related companies to Shelly Europe Ltd., part of Shelly Group SE are not eligible to enter the Giveaway.
Any Participant may withdraw from the Giveaway at any time by contacting the Organizer by email at marketing@shelly.com specifying the name of this Giveaway and any other relevant information.
6. Selection and Announcement of Winners
The Organizer will randomly select 10 winners from among eligible participants using a digital drawing tool on 29 April 2025 and will announce them on the Organizer’s Instagram and Facebook account. Participants who unfollow/unlike and/or delete their comment before the selection process on 29 April 2025 will be disqualified.
Each winner will be contacted via Instagram Direct Message or via private message on Facebook Messenger within 2 days from the selection and will be required to confirm acceptance and provide the following information within 7 calendar days from the date of contact:
• Full name
• Valid delivery address
• Contact phone number
• Email address
Failure to respond within the specified time frame or to provide accurate delivery details will result in disqualification, and the Organizer shall have no obligation to reselect a replacement winner or provide compensation.
Each participant may win only once during the Giveaway.
The Organizer is not responsible if a winning participant fails to exercise his/her right to receive the reward, in accordance with the rules and procedure, set out in these terms and conditions.
7. Reward Information
Each of the 10 selected winners will receive a Shelly Bundle, consisting of:
1x Shelly Plug S Gen3 and 1x Shelly BLU H&T
The reward is entirely free for the winners and includes all associated costs, such as shipping, delivery fees, import duties, VAT, and other applicable taxes. However, the Organizer shall not be held responsible for any tax-related obligations that may arise for the winners under their respective local laws. The reward is non-transferable, non-refundable, and cannot be exchanged for cash or other alternatives.
The Organizer shall not be liable for any delay or failure to fulfill its obligations arising from events beyond its reasonable control, including but not limited to force majeure events, natural disasters, internet or power outages, and governmental actions.
The Organizer shall not be liable for non-delivery of any reward due to inaccurate, incomplete, or outdated contact details provided by the winning participant, or due to external delivery service issues beyond the Organizer’s control.
8. Additional Requirements
Without limiting that requirement, each participant in the Giveaway also must comply with the following:
The participation in the Giveaway must be done within the periods specified in Section 3 of these Terms and Conditions.
The comment must not violate or damage the reputation of the Shelly products and/ or any intellectual property rights and/or any applicable statute, regulation, order, rule, treaty, or other ("Law(s)") or the Terms and Conditions of the Giveaway;
Participant that does not comply with these additional requirements or any other requirements under these Terms and Conditions shall not be considered eligible. In such case the Organizer will have no responsibility for granting a reward.
9. Limitation of Liability
The Organizer is entitled to reject to provide a reward to a participant that was not eligible to participate or whose participation in the Giveaway is in non-compliance with the Terms and Conditions of the Giveaway or the applicable laws as well as in case of alleged fraudulent actions on the part of the participant.
The Organizer reserves the right to remove any content generated by participants and third parties that it deems inappropriate, irrelevant, and incompatible with the Giveaway. This includes content that is offensive, discriminatory, obscene, racist, homophobic, or inconsistent with the rules of responsible commercial communication, and to disqualify from the Giveaway the respective author of such content. In such cases, the Organizer's decision is final.
The Organizer shall not be liable for any undelivered rewards due to technical issues on the Participant’s end, including but not limited to internet connectivity problems, account restrictions, or any other factors outside the Organizer’s reasonable control.
The Organizer shall not be liable for any actions undertaken by the social media where the Giveaway is held, including but not limited to any account payments that might be required, any bans or restrictions, removal of content etc. Any Participant shall know the terms and conditions of the relevant social media.
10. Use of Personal Information.
Instagram and Facebook require registration of an account which may require submission of personal data. The Organizer shall not be responsible for the processing of these data by the relevant social media. Any Participant shall inform her/his self about the Privacy Policy applied to the relevant social media.
The participation in the Giveaway might require data processing by the Organizer as well. More information regarding data processing for the purposes of the Giveaway are available under the Privacy Policy.
11. Representations
By entering the Giveaway, each Participant represents and warrants that: (a) the he/she meets all eligibility requirements of the Giveaway; (b) in entering and participating in the Giveaway, the Participant has complied and will comply in all respects with these Terms and Conditions, the Policies, and all applicable statutes, laws, rules and regulations; and (c) the information provided in by the Participant is true, accurate, and complete in all respects.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Bulgaria. Any disputes shall be subject to the exclusive jurisdiction of the competent Bulgarian courts.

We are aware how important is for You to understand how we collect, store, share and use your personal information and this Privacy Statement describes how we process your personal data with regards to the Shelly’s Energy Saving Giveaway (“Giveaway”).
We are committed to ensure that your personal information is handled in accordance with the principles set out in the applicable legislation. Please review this Privacy Statement carefully before joining the Giveaway.

Data subjects, whose data can be processed – individuals (“You” or “Participant”) who has participated in the Giveaway “Energy Saving Giveaway” on our Instagram - “Shelly” at: https://www.instagram.com/shelly.iot/. and/or on our Facebook page at: facebook.com/Shelly.IoT
We may receive personal information about You directly from You;
We do not envisage processing any sensitive information (or special categories of personal information) concerning to You.
We do not obtain further data from these social media/websites/platforms than the information which you have made publicly available.
1. Types of personal data that you provide us in relation the Giveaway
1.1. Identifiers of Participants, such as:
- Only for the winners, delivery information, such as:
o three names;
o contact telephone number;
o email;
o delivery address.
We process this data based on the Official Terms and Conditions for Energy Saving Giveaway and your agreement thereto.
1.2. Identifiers on social media
- Personal data regarding the Participant: Profile name(s), your comment as well as any further personal data available on the comment – if any.
- Personal data regarding the profile that has been made public by the social media user such as name, profile picture, other comments etc. When you post information or photos/videos on our social media page or comment on any of our posts, the information you post, and your username are publicly available. This information is accessible to anyone who visits the specific social media. The Organizer shall not be responsible for the way these third parties use the information you have posted on the social media.
2. Purposes of personal data processing:
2.1. For Running and administering the Giveaway:
- Processing your participation in the Giveaway;
- Approving the eligibility of you and your participation in the Giveaway;
- Publishing your Profile name(s), if you are one of the winners;
- Contacting you about your participation and/or your reward (if any);
- Performing the lot for determining the winners and publicly announcing their profile names;
2.2. For protecting our legitimate interests to ensure fairness and transparency of the Giveaway.
3. Third parties to whom we provide your data:
3.1. State bodies and authorities in relation to checks performed by them in accordance with statutory requirements and limitations;
3.2. Persons affiliated with the Organizer in connection to the use of shared technical and human resources, transformations and others;
3.4. Persons to whom we are required by law to provide information, such as according to subpoena or a court order;
3.5. Meta Platforms, Inc. (the company owns Facebook and Instagram) by sharing the winners names on our business page on Instagram and Facebook as a part of the marketing campaign of the Giveaway. We are not responsible for the content and terms of use and privacy policies of these social media. Please familiarize yourself in advance with the applicable terms and conditions of these social media.
When making a comment on our Instagram or Facebook page or interacting with it in any other way, including when sending personal messages to that page, please consider carefully the information you share.
3.6. Wask.co - You may find more information https://www.wask.co/ (attention: a link to a third-party website) - the digital tool to select a random Participant comment that wins a pass. We are not responsible for the terms of use and privacy policies of Wask.co. 3.7. We may also disclose your personal information to other parties when we have your consent to do so or when you direct us to, for any purposes requested or permitted by you.
3.8. We may share aggregated, anonymous, or de-identified demographic, statistical, and other information regarding the Giveaway for marketing and other purposes. Such information will not specifically identify any particular Participant.
4. How long We keep your personal information
Our general approach is to keep your personal information for as long as necessary in order to meet the purpose for which they have been collected by us, but no longer than 1 year.
In some cases the period may be extended, such as:
4.1 Data processed for the protection of our legitimate rights and interests or in fulfilment of our legal obligations, in the event that there are judicial, administrative and pre-trial proceedings pending at the date of expiry of the said period - until their conclusion by a final, non-appealable act, depending on the proceedings;
4.2. Data provided based on consent – until its withdrawal by way of written application directed to Us at the management address of the company.
5. Your rights as regards your personal information:
The rights available to You depend on our reason for processing Your personal information. If You need more detailed information or wish to exercise any of the rights set out below, please contact our Data Protection Officer.

You may make a complaint about the way we process your personal information to the supervisory authority in the EEA Member State of your habitual residence, place of work or place of the alleged infringement. Information on your supervisory authority could be found here.
• If You are a UK resident, you may find more information on your rights here. You may make a complaint about the way we process your personal information to the Information Commissioner’s Office.
• If You do not reside in an EEA Member State or the UK, your rights provided by law may be more limited. However, we will strive to make sure you enjoy to the maximum extent the rights available to EEA and UK residents. You may contact your local data protection regulatory authority as regards your right to make a complaint.
You may also seek a defense of legal claims before the competent court.
We would, however, appreciate the chance to deal with your concerns before you approach a data protection regulatory authority, so please feel free to contact us in the first instance.
Please also note that depending on the applicable data protection framework, We may have different time periods to respond to Your request. We usually have one month for EEA and UK residents (which may be extended by two further months where necessary, taking into account the complexity and number of the requests) and we strive to comply with the same period even if the respective applicable law provides for a longer period. If the law provides for a period shorter than one month, We will act accordingly.
6. Methods used for automated making of individual decisions, including profiling
We do not use automated algorithms and/or profiling.
7. Data Security
We maintain a combination of reasonable and appropriate physical, administrative, and technological controls to protect your data from unauthorized access or malicious actions.
We take reasonable steps to limit the access employees, contractors, and agents have to your data to those who need to know this data to perform their assigned functions.
Regarding any post on or interactions with our Instagram or Facebook page, with regard to entry in the Giveaway, including additional data available through them, like any Instagram or Facebook page, our page follows the general rules on personal data protection that Instagram or Facebook provides.

8.1. This Statement contains links to third-party websites. We are not responsible for the protection of your data processed by these sites. Please familiarize yourself with the policies uploaded on these sites in relation to data protection and the grounds on which your data is processed by them.
8.2. We reserve the right to change this Privacy Statement to reflect changes in the law, our data handling practices, or the features of our business. When it’s appropriate we will provide a “just in time” notice to cover any additional processing activities not mentioned in this Privacy Statement and its amendments (if any). Please note that this Privacy Statements does not grant You any contractual rights, nor creates legal obligations for Us other than the statutory ones.
